WagerJoint Terms and Conditions

FOREWORD
We value our affiliate partners and recognize your great importance in building a successful business. We believe the key factor to successful merchant-to-affiliate relationships is trust.

Trust in the casino affiliate business is hard to acquire. Regularly affiliates take a loss from untagged cross promotions and are faced with vague or misleading commission terms. For these reasons we pay our affiliate partners lifetime earnings and always base your revenue share on a clear cut formula that yields, by default, an effective share of gross gaming revenue of 20%. We do not take any deductions such as admin fees, jackpot contributions or transaction costs, so effectively you are always earning a fixed percentage of Gross Gaming Revenue (unless otherwise discussed). For further guidance please review Appendix A of the terms and conditions for sample calculations. Additionally, we have no commission tiers so all affiliates earn a lifetime share of Gross Gaming Revenue at a fixed percentage with no retroactive clauses. This is our promise to you and the foundation of our mutually beneficial partnership.

We have written the following affiliate terms and conditions with you in mind and our Company’s good name. Please take the time to read over this legally binding agreement.

SUMMARY

  • To start, affiliate’s earn 20% of gross gaming revenue. Please see Appendix A of these terms and conditions for example calculations. There are no deductions or hidden fees.
  • Cookies have a life of 45 days based on last referrer.
  • All affiliates earn lifetime revenue with no minimum player requirements.
  • No negative income will ever be carried over.
  • Spam is strictly prohibited and WagerJoint is committed to proactively detecting and deterring affiliates from spamming.
  • Paid search campaigns with SlotJoint trademarks are prohibited.
  • Fraud will be proactively policed and penalized.
  • We aim to process all affiliate applications within 24 hours. If you are not able to wait 24 hours please email partners@wagerjoint.com for an immediate response.
  • Affiliate payments are processed before the 15th of the following month.

PLEASE READ THE FOLLOWING TERMS AND CONDITIONS CAREFULLY BEFORE JOINING THE WAGERJOINT.COM AFFILIATE PROGRAM. BY USING WAGERJOINT.COM AND/OR REGISTERING AS AN AFFILIATE, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.

1. Definitions

Capitalized words in these terms and conditions are defined as:

Advertising Methods: banners, websites, text links, landing pages, emails, sms messages, newsletters, print media and other content used by the Affiliate to promote the SlotJoint Website.

Affiliate, You, Your, Yourself: means You, the person or legal entity that has applied to the Affiliate Program by Application and is accepted into the Affiliate Program.

Affiliate Program, Wagerjoint.com, Our, Us, Company, We: means Us, the website Wagerjoint.com, that facilitates the collaboration between the SlotJoint brand and the Affiliate for the purpose of promoting the SlotJoint Website. Wagerjoint.com is owned by Northern Entertainment N.V. and Affiliate payments are processed by Red Deer Holdings Limited, a wholly owned subsidiary of Northern Entertainment N.V.

Agreement: means You have accepted these terms and conditions and Your Application has been accepted by Us and that You are promoting the SlotJoint Website with approved Advertising Methods.

Application: the Application that the Affiliate completes and submits to participate in the Affiliate Program.

Chargeback: means any credit card transaction that is not collectable by a credit card company as a result of the Customer’s non-payment or fraudulent credit card use. A Chargeback can also be an uncollectable transaction from any other payment method.

Customer: means any person brought to the SlotJoint Website by an Affiliate.

Fraud: means any activity that directly or indirectly causes harm to the SlotJoint Website, SlotJoint brand or Affiliate Program. Fraud includes, but is not limited to, Chargebacks by Players, bonus abuse committed by one or more Players, encouragement by Affiliates to Players to abuse bonuses and providing Players with unauthorized incentives to register at the SlotJoint Website.

Gross Gaming Revenue: see Appendix A of these terms and conditions for example calculations of Gross Gaming Revenue.

Gross Gaming Revenue = [(∑player bets with cash funds – ∑player winnings with cash funds – bonus winnings converted to cash funds) – taxes – Fraud and Chargeback fees].

Gross Gaming Revenue Share: means the percentage share of Gross Gaming Revenue that the Affiliate receives at the end of each month. By default Gross Gaming Revenue Share is set at 20% for all new Affiliates.

High Roller Policy: means that a Player is quarantined and has his or her negative Gross Gaming Revenue carried forward when two conditions are met: (1) a Player generates negative Gross Gaming Revenue of 5,000 €/USD/GBP/AUD/CAD in any given month and (2) the cumulative Gross Gaming Revenue for all Players due to that Affiliate in the same month is negative 5,000 €/USD/GBP/AUD/CAD or lower. Once the High Roller Policy is activated the High Roller becomes quarantined. The quarantined High Roller will be segregated from all other Players and the negative Gross Gaming Revenue carried forward will only be offset against positive Gross Gaming Revenue from that High Roller.

Hybrid Agreement: means a mixture of CPA and Gross Gaming Revenue paid to Affiliates.

Lead: means visitors brought to the SlotJoint Website by an Affiliate’s link who have successfully registered but not deposited.

Lifetime Earnings: Affiliates earn income indefinitely on Players referred to Us. Lifetime Earnings are not limited to income earned from the Slotjoint Website. If additional related brands are launched, at a future date, and Your Players are cross promoted to this new related brand then You will continue earning a percentage of Gross Gaming Revenue. Affiliates compensated on a CPA or CPL arrangement, will only be paid once, i.e. they will not get paid additional compensation for their Players cross promoted to future related brands.

Master Affiliate: means an Affiliate that has referred one or more Sub Affiliates to the Affiliate Program. By default Master Affiliates earn 5% of the Gross Gaming Revenue from their Sub Affiliates.

Net Gaming Revenue: means Gross Gaming Revenue less a 33% admin fee. Net Gaming Revenue is not a default revenue share plan but can be offered to Affiliates.

Player: means any person brought to the SlotJoint Website by an Affiliate’s link that is using the SlotJoint Website with a no deposit bonus, real money or in demo mode.

Real Money Player: means a Lead that has successfully completed the SlotJoint Website registration form and has made the minimum deposit of 20 €/USD/GBP/AUD/CAD.

SlotJoint Website: means the websites slotjoint.com and mobile.slotjoint.com operated by Northern Entertainment N.V, a company incorporated in Curacao, with gambling license number 8048/JAZ2013-011.

Sub Affiliate: means an Affiliate that has been referred to the Affiliate Program by a Master Affiliate.

2. Purpose

The purpose of these terms and conditions is to govern the relationship between the Affiliate Program and You the Affiliate.

3. Acceptance of Terms and Conditions

To participate in Our Affiliate Program You must first read and accept these terms and conditions. By clicking the “I agree to the terms and conditions” button and submitting the Application You acknowledge that You fully understand these terms and conditions and agree to them. If You do not understand or agree to these terms and conditions then do not click the “I agree to the terms and conditions” button and do not submit the Application.

Upon receiving Your Application, the Affiliate Program will evaluate the Application for suitability and either accept or not accept the Application. The Affiliate Program has the right to not accept the Application for any reason. The Application will not be accepted if Your Advertising Methods are racial, sexual, threatening, criminal, harassing, offensive, directed towards minors or unsuitable for any other reason.

The information You submit in Your Application must be accurate and complete. If any of Your initially submitted information changes over the duration of this Agreement then You must update Your Application information promptly.

Our Affiliate Program may, at its discretion, carry out verification checks to confirm Your identity. You would be asked to provide identity verification documents such as proof of identity, residence, address and age.

You will be notified of Your approval into Our Affiliate Program by email. The approval email will state Your compensation plan. Our Affiliate Program can arrange a variety of payment plans such as Gross Gaming Revenue Share, CPA, CPL and hybrid plans. By default all Affiliates earn 20% of Gross Gaming Revenue, unless stated otherwise. Gross Gaming Revenue Share plans will pay You Lifetime Earnings on Players referred to Us.

4. Modification of Terms and Conditions

The Affiliate Program reserves the right to modify, delete or alter these terms and conditions. The date of the last update will always appear at the top of these terms and conditions and will serve as notice.

5. Interruptions and Errors

Neither the Affiliate Program nor the SlotJoint Website guarantees that the SlotJoint Website or Wagerjoint.com will be uninterrupted or error free. Therefore, the Affiliate Program and the SlotJoint Website are not liable for any damages or losses caused to the Affiliate as a result of interruptions or errors.

6. Promotional Material

Upon acceptance into the Affiliate Program, Affiliates will be granted access to links, banners, emails, landing pages, print media, newsletters and other content. Unless authorized in writing, Affiliates are strictly prohibited from altering or modifying any of the granted content. Affiliates may also not use any marketing materials for any purpose other than obtaining Players for the SlotJoint Website.

If You change Your Advertising Methods after Application acceptance then You must notify Us for approval before use.

7. Zero Tolerance towards Spam and Fraud

Spam is any form of advertising that is harassing to its intended or unintended audience. Examples of spam include, but are not limited to, soliciting emails and or SMS messages to audiences that have not opted in nor want to receive the message. The Affiliate Program has a zero tolerance policy towards spam and will investigate all claims of spam and stop Affiliates from engaging in acts of spam. In the event that an investigation determines an Affiliate has engaged in an act of spam then expenses and damages incurred by the Affiliate Program will be deducted from any balance in the Affiliates account. The Affiliate Program also reserves the right to end the contract with an Affiliate with no penalty for engaging in spam.

Affiliates are not permitted under any circumstances to promote the SlotJoint Website through means which are fraudulent. This includes, but is not limited to, creating an Affiliate account and using it to gain an advantage over SlotJoint Casino. For example, You are not permitted to create a Player account at SlotJoint Casino mapped to Your Affiliate account and play at the SlotJoint Website. Additionally, You are not permitted to create an account at the SlotJoint Casino under anyone elses name and profit by this as an Affiliate. For example, You are not permitted to create an Affiliate account and fund, directly or indirectly, Player accounts with the purpose of creating an additional cashback scheme, or benefit, by being an Affiliate. If it is found, or if reasonable evidence suggests that Your account is engaging in any fraudulent activities towards the SlotJoint Casino or Us then Your Affiliate account and related Player accounts will be closed permanently and no payment will be sent to You or the related Player accounts.

8. Zero Tolerance towards Unsuitable Advertising Methods

Affiliates are not permitted under any circumstances to promote the SlotJoint Website through any unsuitable Advertising Methods such as narcotic sites, sites aimed at minors, sites that violate intellectual property rights, hacked websites or sites promoting discrimination based on sex, race, age, gender, religion, or nationality.

9. Cost Per Lead (CPL) Agreement

In special circumstances the Affiliate Program will arrange to compensate Affiliates on a CPL basis. In the case of a CPL arrangement, Affiliates will be paid a mutually agreed amount per new Player Lead.

10. Cost Per Acquisition (CPA) Agreement

In special circumstances the Affiliate Program will arrange to compensate Affiliates on a CPA basis. In the case of a CPA arrangement, Affiliates will be paid a mutually agreed amount per acquisition of new Real Money Players. CPA payments will be triggered and deemed due to Affiliates at the time of first or second deposit as determined by mutually agreed terms. If a Chargeback or Fraud arises the CPA paid to the Affiliate will be deducted from future amounts due to the Affiliate.

11. Gross Gaming Revenue Share Agreement

See Appendix A of these terms and conditions for example calculations of Gross Gaming Revenue. Gross Gaming Revenue = [(∑Player bets with cash funds – ∑Player winnings with cash funds – bonus winnings converted to cash funds) – Taxes – Fraud and Chargeback fees].

12. Hybrid Agreement

In special circumstances the Affiliate Program will arrange to compensate Affiliates on a Hybrid basis. In the case of a Hybrid Agreement, Affiliates will be paid a mutually agreed amount per Lead and or Real Money Player acquired.

13. Acceptance of Customers

The SlotJoint Website shall retain the unconditional and absolute right to close the account of any Player for any reason.

14. No Negative Carry Over

If Gross Gaming Revenue is negative at month end then it will be set to zero so that negative balances do not carry forward. Negative balances due to fraud and High Rollers are an exception and will be carried forward.

15. High Roller Policy

In any given month, if a single Player generates Gross Gaming Revenue of negative 5,000 €/USD/GBP/AUD/CAD or lower and the cumulative Gross Gaming Revenue for all Players, due to that Affiliate, is negative 5,000 €/USD/GBP/AUD/CAD or lower then the High Holler policy will be activated and that High Roller will be quarantined. The negative Gross Gaming Revenue carried forward is limited to the cumulative negative Gross Gaming Revenue in the month the High Roller policy is activated. For example, if an Affiliate with a Gross Gaming Revenue Share percentage at 30%, with 10 active Players in month 1 has 9 active Players in his account with a cumulative positive Gross Gaming Revenue of $1,000 and 1 active Player with a negative Gross Gaming Revenue of $20,000 then the quarantined Gross Gaming Revenue carried forward to month 2 will be $19,000 (or $5,700 Gross Gaming Revenue Share calculated as 19,000 x 30%). $0 is due to the Affiliate at the end of month 1.

The quarantined High Roller will be segregated from all other Players and the negative Gross Gaming Revenue carried forward will only be offset against positive Gross Gaming Revenue from that High Roller. For example, if an Affiliate with a Gross Gaming Revenue Share percentage at 30%, with 10 active Players in month 1 has 9 active Players with a cumulative positive Gross Gaming Revenue of $1,000 and 1 active Player with a negative Gross Gaming Revenue of $20,000 then the quarantined amount carried forward to month 2 will be $19,000. $0 is due to the Affiliate at the end of month 1. Then in month 2, 9 out of 10 players have a positive cumulative Gross Gaming Revenue of $10,000 and the quarantined High Roller has a positive Gross Gaming Revenue of $10,000 then the Gross Gaming Revenue Share due to the Affiliate at month end is $3,000 ($10,000 Gross Gaming Revenue x Gross Gaming Revenue Share percentage of 30%). The quarantined amount of negative Gross Gaming Revenue carrying forward is $9,000.

16. Master and Sub Affiliates

Master Affiliate Gross Gaming Revenue share is calculated as 5% of aggregate Sub Affiliate Gross Gaming Revenue. Affiliates are strictly forbidden from using the Sub Affiliate scheme in any way that is in bad faith against the Affiliate Program, including but not limited to, referring Yourself or family members as Sub Affiliates to earn additional revenue.

17. Payment Date and Payment Thresholds

Revenue share, CPA, CPL and Hybrid amounts due to Affiliates will be calculated at the end of each month and processed to Affiliates no later than the 15th day of the following month. If minimum amounts have not been achieved, the balance will be carried forward and paid once the minimum amount is achieved. If the minimum is not achieved within 12 months, We reserve the right to use Our discretion to either pay the minimum or consider it forfeited.

*If an affiliate requesting a bank wire payout has not achieved the minimum payment threshold of 1,000 €/USD/GBP/AUD/CAD within 12 months then the affiliate has the right to request a wire payout but agrees to cover the costs of their incoming wire payment.

18. Locked Customers

The Affiliate shall be awarded payment by the Affiliate Program only for new Customers. The Affiliate will not be compensated for any old Customers referred to the SlotJoint Website. An old Customer is a Customer that registered with the SlotJoint Website in the past prior to re-registering.

19. Payment Balance Disagreement

If the Affiliate disagrees with their payment received from the Affiliate Program then they have 20 days from the date their money is received to report their complaint. Their complaint must be emailed to the Affiliate Program at partners@wagerjoint.com. If no reports are received within the 20 day period then it will be deemed that the Affiliate has acknowledged correct payment.

20. Confidential Information

As an Affiliate of Our Affiliate Program, Affiliates will be privy to confidential information, including, but not limited to, the % of revenue share that they receive, the CPL or CPA they receive, lists of customers and buyers, business plans, business know-how and market data. All confidential information is secret and shall not be used by the Affiliate for any purpose other than promoting the SlotJoint Website.

21. Money Laundering

You shall not participate in or benefit indirectly or directly from any money laundering or related illegal activity. If an Affiliate is suspected of money laundering then the Affiliate’s transactions and account will be investigated. If reasonable evidence suggests that the Affiliate is laundering money then the Affiliate will be terminated and the Affiliates account balance will be donated to a responsible gaming charity.

22. Term and Termination of Agreement

These terms and conditions will come into effect the moment your Application is approved by Our Affiliate Program. The length of Our Agreement will continue until terminated by written notice by either party. This Agreement can be terminated without cause by either party upon a 30 day written notice. This Agreement can be terminated immediately without written notice if the Affiliate breaches this Agreement.

The Affiliate Program may terminate this Agreement at any time if, but not limited to, it determines that You:

  • engaged in Fraud, money laundering or illegal activities,
  • engage in advertising on hacked websites,
  • cannot prove Your true identity,
  • engage in marketing efforts that are damaging to the SlotJoint brand such as, but not limited to, associating Advertising Methods with narcotic sites, sites aimed at minors, sites that violate intellectual property rights or sites promoting discrimination based on sex, race, age, gender, religion, nationality,
  • or Your employees or parties related to You have signed up, deposited and engage in significant play at the SlotJoint Website,
  • provide Players that are identified as placing suspicious betting patterns, where it appears Customers are gaining an unfair advantage as a result of having a close relationship with an Affiliate,
  • provide Players that consistently generate a business loss.

Upon termination, Affiliates must cease all marketing efforts directed toward the SlotJoint Website, including but not limited to, removing banners and text links from sites, as well as any other promotional content. Upon termination of this Agreement, the Affiliate will only be paid his earnings up to the effective date of termination. If the Agreement is terminated due to a breach in the Agreement then the Affiliate Program may, at its sole discretion, withhold final payment and or use it as collateral for any damages incurred and or until the period of an investigation.

23. Competing with our Marketing Drives

You shall not participate in any marketing efforts where You are competing with Our marketing efforts. Therefore You shall not:

  • in the case of PPC and keyword bidding, You are strictly forbidden from competing with brand related traffic. For example, You shall not bid on keywords which broadly match “SlotJoint” or “Slot Joint”,
  • use of broad or exact keywords of “SlotJoint” in any domain name is not permitted, however, You are permitted to use the keyword “SlotJoint” in Your URL. For example:
    • slotjointuk.co.uk – NOT PERMITTED
    • slotjointcasino.com – NOT PERMITTED
    • slotjointfun.ca  – NOT PERMITTED
    • slotjoint.casinoreviews.com  – NOT PERMITTED
    • casinoreview.com/slotjoint– PERMITTED
    • casinoreviews.com/slot-joint.com – PERMITTED
    • casinoreviews.com/slotjointreview.com – PERMITTED

24. Customer Tracking

The Affiliate Program will track Customer activity. The tracked activity is derived from Customers who have clicked on Affiliate links and use the SlotJoint Website. The tracked activity will be accessible from the Wagerjoint.com website and contains information such as registrations, deposits and revenue share. Tracked data is not displayed in real time and is updated every 24 hours. It is Your responsibility to ensure that Your Affiliate links are working properly. Therefore We recommend You always test Your Affiliate links before You begin promoting the SlotJoint Website.

25. Restricted Territories

Please note that some territories are blocked by the SlotJoint Website. In a blocked territory, Customers will not be able to register at the SlotJoint Website. It is the sole responsibility of the Affiliate to understand and acknowledge that Customers from Costa Rica, Curacao, Cyprus, Israel, Malta, United States of America or any other jurisdiction where online gambling is considered illegal are not permitted.

26. False Representation

With absolutely zero exceptions You are not permitted to represent Yourself as an employee, director or executive of the SlotJoint Website or the Affiliate Program. Therefore, You are not capable or permitted to bind the SlotJoint Website or Affiliate Program to any obligations.

27. Indemnity

You shall not hold liable Our payment providers, suppliers, contractors, agents, directors, employees, officers, or representatives for any damages, costs, including reasonable attorney’s fees, resulting from, arising out of, or in any way related to:

  • any breach by You of any warranty, representation, or agreement contained in these terms and conditions,
  • Your negligence,
  • Your businesses losses or
  • any injury caused directly or indirectly by Your negligent or intentional acts or omissions, or the unauthorized or incorrect use of Our links and banners. Also, You will not hold Us liable for any and all claims, damages, and expenses (including, and without limitation, attorneys’ fees) relating to the development, operation, maintenance, and contents of Advertising Methods.

28. Limitation of Liability

We will not be held liable for direct, indirect, special, punitive or consequential damages or for any loss of any nature whatsoever, arising from or in connection with these terms and conditions or the Affiliate Program.

Appendix A – Gross Gaming Revenue Share Example Calculations

The purpose of this appendix is to provide Affiliates with guidance on how Gross Gaming Revenue Share is calculated. All examples assume the Affiliate has only 1 Player in his account and earns Gross Gaming Revenue Share of 30%. Each example is independent of the others, except for example 5.1. Assumptions made for below examples are that the wagering requirements (WR) on deposit and no deposit bonus are both 40 x bonus.

Gross Gaming Revenue Share Formula:
Gross Gaming Revenue = [(A – B – C) – D – E]
Gross Gaming Revenue Share = 30% x Gross Gaming Revenue
A = ∑Player bets with cash funds
B = ∑Player winnings with cash funds
C = bonus winnings converted to cash funds (only after WR is met)
D = taxes
E = fraud and chargeback fees.

Alternatively, Gross Gaming Revenue = Player Deposits – Player Withdrawals – Player Cash Funds on Hand – Taxes – Fraud.

The two formulas yield the same results.

Example 1
Player takes $20 No Deposit Bonus (NDB) but does not deposit. Player then loses the entire $20 NDB by wagering $5 per spin for a total of 4 spins. Player never comes back to casino.

Player takes $20 NDB but does not deposit. Player completes wagering requirement (WR) on no deposit bonus (WR=Bx40) by wagering a total of $800 on his favourite slot game and winning a total of $880. After meeting the wagering requirements, his Player account has $100 in it ($20 NDB converted to cash + $80 net winnings). Player does not withdraw and stops playing.
